The agreement for using Moventr.
Who these terms apply to
These Terms of Service apply when you access the Moventr website, register interest, request a demo, start a subscription, use a trial, or use any Moventr product, portal, API, or related service made available by us.
If you use Moventr on behalf of a company, agency, property business, facilities team, or other organisation, you confirm that you have authority to bind that organisation. In these terms, "you" and "your" refer to both you and that organisation.
If you have a separately signed agreement with Moventr, that signed agreement controls where it conflicts with these terms.
The Moventr service
Moventr provides software for coordinating property and maintenance work, including jobs, assets, quotes, vendors, owners, tenants, customers, communications, files, reporting, and related operational workflows.
The public website is for information, demo requests, interest registration, plan selection, and subscription checkout. Website content is provided for general business information and does not create a guarantee that any feature, integration, price, or timeline will be available unless confirmed in writing.
We may improve, modify, add, suspend, or remove features from time to time. We will use reasonable efforts to avoid materially reducing paid core functionality during an active subscription term without notice or a commercially reasonable alternative.
Accounts and authorised users
You are responsible for the users you invite, the permissions you assign, and all activity that occurs through your account, except where caused by Moventr's breach of these terms.
You must keep account credentials confidential, use accurate account information, and notify us promptly if you suspect unauthorised access or misuse.
You must ensure that users are authorised to access the properties, tenants, owners, vendors, documents, communications, and maintenance records you make available through Moventr.
Subscriptions, trials, and payment
Plan details, prices, usage limits, included seats, asset allowances, trial periods, onboarding scope, taxes, and billing cadence are shown at checkout, in the product, on the pricing page, or in a written order or agreement.
Paid subscriptions renew for the billing period selected unless cancelled before renewal, unless your order states otherwise. You are responsible for applicable taxes, payment authorisations, and keeping billing details current.
Payments may be processed through Stripe or another approved payment provider. Moventr does not intend to store full card numbers on the public website. Payment providers may apply their own terms, privacy notices, fraud checks, and payment rules.
Free trials, free tiers, beta access, discounts, and promotional offers may be changed, limited, or withdrawn at any time, unless a written agreement says otherwise. Moventr may suspend trial or free access that is inactive, abusive, misleading, or outside the intended evaluation use.
Cancellations, refunds, and plan changes
You can request cancellation or plan changes through the available billing flow or by contacting Moventr. Unless required by law or stated in a written agreement, fees already paid are non-refundable and cancellation takes effect at the end of the then-current billing period.
If you upgrade or add usage during a subscription period, additional fees may apply. If you downgrade, reduced features, seats, limits, or access may apply from the next billing period or as otherwise confirmed by Moventr.
We may refuse, reverse, or delay a checkout or subscription change if the request appears fraudulent, unauthorised, technically invalid, inconsistent with plan rules, or harmful to the service.
Customer data and responsibilities
You retain ownership of the information, files, records, messages, images, and other content you or your users submit to Moventr. You grant Moventr the rights needed to host, process, transmit, display, back up, secure, support, and operate the service for you.
You are responsible for the accuracy, quality, legality, permissions, and backup decisions for customer data you submit. You must not upload information you are not authorised to use, share, or process through Moventr.
You should avoid submitting unnecessary sensitive information, including payment card numbers, government identifiers, medical information, or passwords through notes, files, demo forms, or contact forms.
Acceptable use
You must not misuse Moventr, interfere with the service, bypass security controls, probe or attack systems, scrape or harvest data, use the service to send spam or unlawful communications, upload malicious code, or attempt to access data or accounts that do not belong to you.
You must not use Moventr for unlawful, deceptive, infringing, discriminatory, unsafe, or abusive purposes. You must not use the service to make decisions that require a licensed professional judgment unless you independently verify the information and obtain the required professional advice.
You must comply with applicable laws and contracts relating to property management, tenancy, privacy, records, workplace safety, consumer protection, payments, tax, and communications.
Third-party services and integrations
Moventr may work with third-party services such as payment processors, hosting providers, email tools, analytics providers, identity providers, file storage, communication services, or future integrations selected by you.
Third-party services are governed by their own terms and privacy practices. Moventr is not responsible for third-party services that we do not control, but we will use reasonable care when selecting providers used to operate Moventr.
If you enable an integration or direct us to connect to another system, you authorise Moventr to exchange the information needed to provide that integration.
Security, support, and availability
Moventr uses reasonable administrative, technical, and organisational safeguards designed to protect the service. No system is guaranteed to be uninterrupted, error-free, or immune from security incidents.
We may perform maintenance, updates, security work, or emergency fixes that temporarily affect availability. We will use commercially reasonable efforts to minimise disruption where practical.
Support availability depends on your plan or written agreement. Support does not include custom development, data cleanup, third-party system repair, legal advice, or operational services unless separately agreed.
Intellectual property
Moventr and its software, website, design, workflows, documentation, logos, branding, content, analytics, and underlying technology are owned by Moventr or its licensors and are protected by intellectual property laws.
Subject to these terms and payment of applicable fees, Moventr grants you a limited, non-exclusive, non-transferable right to access and use the service for your internal business operations during the active subscription or trial period.
You must not copy, resell, lease, sublicense, reverse engineer, modify, or create derivative works from Moventr except where allowed by law or agreed in writing.
Feedback and product ideas
If you provide feedback, suggestions, feature requests, or ideas, you allow Moventr to use them without restriction or compensation. We are not required to treat feedback as confidential unless separately agreed.
Confidentiality
Each party may receive non-public business, technical, financial, product, customer, or operational information from the other. The receiving party must use reasonable care to protect confidential information and use it only for purposes connected to Moventr and these terms.
Confidentiality obligations do not apply to information that is public, already known without restriction, independently developed, lawfully received from a third party, or required to be disclosed by law.
Disclaimers
Moventr is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not promise that the service will be uninterrupted, error-free, or suitable for every business, property, asset, vendor, tenant, compliance, or reporting need.
Moventr helps organise maintenance information and workflows. It is not a substitute for professional judgment, legal advice, accounting advice, building compliance advice, safety assessment, insurance advice, or licensed trade expertise.
Nothing in these terms excludes, restricts, or modifies any consumer guarantee, statutory right, or liability that cannot lawfully be excluded, restricted, or modified.
Limitation of liability
To the maximum extent permitted by law, Moventr will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or loss-of-profit damages, or for loss of goodwill, data, business opportunity, anticipated savings, or revenue.
To the maximum extent permitted by law, Moventr's total aggregate liability for claims relating to the service or these terms is limited to the amounts paid by you to Moventr for the service giving rise to the claim in the three months before the event giving rise to liability, or AUD $100 if no fees were paid.
The limitations apply whether a claim is based in contract, tort, negligence, statute, equity, or otherwise, and whether or not Moventr was advised of the possibility of the loss.
Indemnity
You agree to indemnify Moventr against claims, losses, liabilities, damages, costs, and expenses arising from your customer data, your use of the service, your breach of these terms, your violation of law, or your users' actions, except to the extent caused by Moventr's breach of these terms or unlawful conduct.
Suspension and termination
Moventr may suspend or restrict access if payment is overdue, security is at risk, usage is abusive or unlawful, required information is inaccurate, you breach these terms, or suspension is needed to protect Moventr, customers, users, or third parties.
Either party may terminate where the other party materially breaches these terms and does not remedy the breach within a reasonable time after notice. Moventr may also terminate free, trial, or beta access at any time where commercially reasonable.
After termination, your right to use the service ends. Moventr may retain or delete customer data according to the privacy policy, backup cycles, legal obligations, and any written agreement. You should export needed records before cancellation where export tools are available.
Changes to terms or service
We may update these terms from time to time. The updated version will be posted on this page with a revised effective date. Material changes may be notified through the website, email, or product notices where appropriate.
If you continue using Moventr after updated terms take effect, you accept the updated terms. If you do not agree, you should stop using Moventr and cancel your subscription before the next renewal.
Governing law and disputes
Unless a written agreement says otherwise, these terms are governed by the laws of New South Wales, Australia, without regard to conflict of law rules.
Before starting formal proceedings, each party agrees to try to resolve disputes in good faith by written notice and escalation to a business representative with authority to settle. Nothing prevents either party from seeking urgent injunctive relief, protecting intellectual property, or responding to legal process.
General terms
You may not assign these terms without Moventr's prior written consent, except as part of a merger, acquisition, restructure, or sale of substantially all assets where the assignee agrees to be bound by these terms. Moventr may assign these terms as part of a business transfer or corporate restructure.
If any part of these terms is invalid or unenforceable, the remaining terms continue to apply. A failure to enforce a term is not a waiver. These terms, together with any order, checkout terms, privacy policy, and written agreement, form the agreement between you and Moventr for the service.
